REGULATIONS:

ARTICLE 1: NAME
|
| |
This association is known
under the name: Alberta Body Building Association.
|
ARTICLE 2: DEFINITIONS |
| |
In the present constitution,
unless the context does not allow, the terms should be interpreted
as follows:
2.01: "FEDERATION" to designate
the Canadian Amateur Federation of Body Building.
2.02: "ASSOCIATION" to designate
any regional or provincial association of Bodybuilding affiliated
to the Federation
2.03: "GENERAL MEETING" to
designate any general meeting of the Association.
2.03: "EXECUTIVE COMMITTEE"
to designate the Executive Committee of the Association.

ARTICLE 3: HEADQUARTERS |

The Headquarters of the Association will
be located at the principle residence of the President.
|
ARTICLE 4: GOALS AND OBJECTIVES |
| |
The Association has as its goal the promotion of Bodybuilding
on a national scale and the development of friendship and
comprehension among the amateurs of this discipline without racial,
language, provincial or religious discrimination. In its
pursuit of this goal, the Association has given itself the following
objectives:
4.01: To act as official representatives
of members on the provincial and national scale.
4.02: To create a provincial Association
and to co-ordinate provincial activities.
4.03: To encourage and approve competitions
on a provincial scale.
4.04: To organize and animate training
and improvements for the officials, instructors, bodybuilders
and administrators.
4.05: To publish and distribute
all information pertaining to bodybuilding throughout the province.
4.06: To collaborate with other
organizations whose goals and objectives are in accordance with
those to the Association.
4.07: To launch, co-ordinate and
encourage the realization of provincial programs of bodybuilding
(especially in recreational centers and teaching institutions).

ARTICLE 5: MEMBER |

5.01:
Any individual, gymnasium, sporting institution or other which are
in conformity with the rules of the present constitution.
5.02: ACTIVE MEMBERS:
Present members of the Executive Committee of the provincial Association.
5.03: AFFILIATED MEMBERS:
Any organization of which the geographical situation or circumstances
prevent it from participating or from being
integrated to the provincial organization.
5.04: HONORARY MEMBERS:
Any person who is judged so by the Executive Committee because
of the numerous services rendered to the cause of bodybuilding
in the province.

ARTICLE 6: MANAGEMENT
|

6.01: The
Association is administered by the Executive Committee, in virtue
of the powers that are delegated to it by the General Assembly
|
ARTICLE 7: ELIGIBILITY |
| |
7.01: PROVINCIAL MEMBERS:
Any individual, association, institution or other, who wishes
to become a member of the Association, must apply to the Executive
Committee and satisfy the moral and material requirements of the
Association.

ARTICLE 8: RIGHTS |
| |
8.01: PROVINCIAL MEMBERS:
Any provincial member of the Association has a right to the
following:
a) the right to be represented at the Executive Committee;
b) the right to speech at the general meetings;
c) the right to vote at a general meeting;
d) the right to benefit from the documentation put
out by the Association as well as any action undertaken by the
Association;
e) the right to be nominated to any executive position
up for election.
8.02: ACTIVE MEMBERS
All active member of the Association has a right to the following:
a) the right to benefit from any documentation distributed
by the Association, as well as any activity undertaken by the
association;
b) the right of speech at the general meetings of
the Association. The right to vote is granted to the President
who is duly mandated by his Association;
c) the right to be a candidate to any Executive post
by the Association.
8.03: AFFILIATED MEMBERS:
Any affiliated member can avail him/herself to the same rights
as the active member except that of vote at the General Assembly.

ARTICLE 9: DUTIES |

9.01 ACTIVE MEMBERS:
Any member of the
Association commits him/herself to observe all the rules of the
Association and of the club of which he/she is a member.
|
ARTICLE 10: Resignation |
| |
10.01: Any active or affiliated
member who sends his/her written resignation to the Executive Committee
loses his/her right as a member from the time his/her resignation
was received.
|
ARTICLE 11: EXCLUSION OR SUSPENSION |
| |
11.01: Any member guilty of derogation
to the rules is liable of exclusion or suspension on recommendation
by two thirds majority vote of the Executive Committee .
|
ARTICLE 12: APPEAL |
| |
12.01: Within sixty (60) days, any member may
appeal any decision of exclusion or suspension or exclusion of
the Executive Committee
12.02: A period would be granted in which his/her
representatives or him/her self would be able to present his/her
case. The General Assembly will make this decision on the
basis of the request which will be ratified or rejected by a two
thirds vote of those present.

ARTICLE 13: ORGANS |

13.01: The Association acts through
the intermediary of the following organs: The General Assembly ,
the Executive Committee and the Board of Directors, as well as the
Committees.

ARTICLE 14: GENERAL ASSEMBLY |
| |
14.01: COMPOSITION:
The General Assembly is composed of active affiliated members
of the Association.
14.02: POWERS:
The General Assembly has the following functions:
A)the adoption and modification of the Constitution of the Associations;
B)the adoption of all annual reports of the Associations;
C)the study of all questions pertaining to the objectives of the
Association and the adoption of all measures judged necessary
on this subject, be it on the request of the Executive Committee,
or on its own initiative;
D)the delegation of all power to the Executive Committee.
14.03: ANNUAL MEETINGS:
The annual meeting of the General Assembly takes place at a date
determined by the Executive Committee which will coincide as much
as possible with the Alberta Provincial Bodybuilding Championship
competition.
14.04: SPECIAL MEETINGS:
At the request of twenty-five percent (25%) of the members of
the General Assembly, or at the request of the majority of the
members of the Executive Committee, the latter must, within thirty
(30) days, convene a special meeting of the General Assembly.
In all cases, the notice of convocation must mention the nature
of the subjects to be treated and must be sent to the members
at least fifteen (15) days before the date of the meeting.
14.05: NOTICE OF CONVOCATION:
The notice of convocation for the annual meeting of the General
Assembly must be sent to the members at least three (3) weeks
before the date fixed for the meeting. It must be accompanied
by the following documents:
a) agenda;
b)
all the annual reports of the Association;
c)
any notice of motions set forth to modify the present constitution.
14.06: QUORUM:
The active and affiliated members present at any meeting of the
General Assembly constitute the quorum.

ARTICLE 15: THE EXECUTIVE COMMITTEE |

15.01: The Executive Committee is composed of
a President, a Vice-President, a Secretary, a Treasurer, and the
immediate past president.
15.02: DIRECTION FOR ELECTION:
a) the election of the Executive Committee takes place at the
General Assembly;
b)
any person elected to the Executive Committee must free him/herself
of any official position he/she occupies within his/her club;
c)
all members of the Executive Committee are elected by secret vote
on the majority of the votes cast;
d)
the mandate of the Executive Committee will be for a period of
three (3) years. At the end of the period, an election must be
held.
15.03: VACANCIES:
The Executive Committee has the right to fill any vacancy within
the committee until the next meeting of the General Assembly
is convened.
15.04: POWERS - DUTIES:
The Executive committee possesses all the powers that are delegated
by the General Assembly. it exercises the following duties:
a) to put into practice the policy of the Association;
b)
to administer current affairs;
c)
to assure the execution of the decisions of the General Assembly;
d)
to prepare and convene the meetings of the General Assembly;
e)
to discipline its members who do not abide by the constitution
and rules of the Association or whose conduct is prejudicial or
brings dishonor to the sport of Association

ARTICLE 16: THE BOARD OF DIRECTORS |

16.01: The Board of Directors is composed of
the Executive Committee and the District Representatives.
16.02: ANNUAL MEETINGS:
The annual
meeting of the Board of Directors takes place at a date determined
by the executive Committee which will coincide as much as possible
with the Alberta Provincial Bodybuilding Championship competition.
16.03: DUTIES
To assess
policy and administration and its execution and pertinence to
the three (3) year plan.

ARTICLE 17: DISTRICTS |

17.01: The districts of the Association are
identified as follows:
a) North - to include Edmonton and its surrounding towns and all
provincial territory north;
b)
South - to include Calgary and its surrounding towns and all provincial
territory south;
c)
Central - to include Red Deer and its surrounding towns and all
provincial territory between North and South.
17.02: DISTRICT REPRESENTATIVES:
a) a district shall be eligible to nominate any member in good
standing to be its representative for a 1 year term;
b)
the district representative is appointed by the Executive Committee
from the list of nominees;
c)
if no member is nominated for the district's representative, then
the Executive Committee may appoint one.
17.03: DUTIES OF THE DISTRICT REPRESENTATIVES:
a) to act as communication liaison between the Association and
its members;
b)
to put forward any motions or other Actions presented to the district
representatives by any member in the specific districts;
c)
to perform any other duties asked of the district representative
by the Executive Committee.

ARTICLE 18: COMMITTEES |

18.01: PERMANENT COMMITTEES:
The permanent committees are formed by the Executive Committee
to ensure the good function of a sector of activity of the association.
The permanent committees are:
a) the membership committee;
b)
the historical and archives committee;
c)
the newsletter committee;
d)
the public relations committee;
e)
the committee for promotion of competitions.
18.02: TEMPORARY COMMITTEES:
The Executive Committee may, if necessary, organize temporary
committees to help in solving one or several particular problems.

ARTICLE 19: THE ROLE OF THE OFFICERS |

19.01: THE PRESIDENT:
The principal duties of the president are:
a) to animate the activity mechanisms of the association;
b) to be the official spokesperson and representative of the Association
in its public relations;
c) to preside over the meetings and supervise the deliberations
of the General Assembly and the Executive Committee. He/She is
a member ex-officio of any committee having a casting vote.
d) to fill all other duties that are assigned to him/her by the
Executive Committee and General Assembly.
19.02: THE VICE-PRESIDENT:
The principal duties of the vice-president are:
a) to co-ordinate all the committees of the Association of which
is a member ex-officio with casting vote;
b) to possess the same powers and exercise the same duties and
prerogatives as the president when the latter is absent or unable
to fill them;
19.03: THE SECRETARY:
The main functions of the secretary are the following:
a) to keep and sign the proceedings of all the meetings of the
General Assembly and the Executive Committee;
b) to carry out and/or transmit the decisions of the General and
Executive Committee;
c) to conduct the correspondence and assure the smooth running
of the secretariat.
19.04: THE TREASURER:
The main functions of the Treasurer are as follows:
a) to be the bookkeeper and administer the finances of the Association;
b) to see that an annual financial report is prepared;
c) to have the competent authorities check the annual report.
19.05: THE EX-PRESIDENT:
The main functions of the Ex-President are as follows:
a) to advise on the demand of the other members of the Executive
Committee of the Association on all pertinent affairs.
19.06: THE REPRESENTATIVES:
The representatives of the club at the Executive Committee meetings
has the following duties:
a) to submit to the committee any request or project that the
members of his/her club wish to present to the Association;
b) to advise the members of his/her club on the policy and the
activities of the Association.

ARTICLE 20: ADMINISTRATION |

20.01: FUNDS:
The general funds of the Association are assured by the
annual fees of all its members, determined by the General Assembly.
The Association can accept any contribution or any gift which
will help it in the organization of its activities.
20.02: FISCAL YEAR:
The fiscal year of the Association ends on the 31st day
of December every year, unless the Executive Committee, by resolution,
decides otherwise.
20.03: DEPOSITS:
The Association's funds shall be deposited into a chartered
bank, designated by the Executive Committee.
20.04: SIGNING OF NEGOTIABLE TRADE BILLS:
All cheques, notes, drafts, or negotiable bills for the
Association must be examined at the end of any fiscal year, by
the auditors named by the Executive Committee.
20.05: ACCOUNTING BOOKS AUDITED:
The balance and statement of the financial state of
the Association must be examined at the end of any fiscal
year, by the auditors named by the Executive Committee.
20.06: EARNINGS AND REFUNDS:
The Executive Committee may, by a simple resolution reimburse
any officer of the Association for all expense incurred in the
course of his/her duties and pay him/her any specific earnings
for any work or particular project accomplished
in the interest of the Association.

ARTICLE 21: AFFILIATIONS |

21.01: Definition
Affiliation means the establishment of reciprocal relations
with organizations pursuing objectives which are connected to
those of the Association. There will be no obligation on either
part of the affiliated organizations to support the policy or
movements of the other nor have any financial obligation to each
other.
21.02: PROCEDURES OF AFFILIATIONS:
The Association my affiliate with any organization having
the criteria established in the preceding article and of
which the jurisdiction is provincial, national or international.
Any proposal for affiliation or termination of an affiliation
must be submitted to the Executive Committee for approval or rejection
by vote of two thirds of the members present constituting a quorum.

ARTICLE 22: PROCEDURE AMENDMENTS |

22.01: PROCEDURES:
The manual "procedures des Assemlees deliberantes"
written by Victor Morin shall be followed for any rule of
procedure not determined in the present constitution. The legal
text of the constitution is written in both French and English.
22.02: AMENDMENTS:
The present constitution may not be repealed, amended, or lengthened
except at a meeting of the General Assembly of the Association.
All amendments must be included on the agenda of the meeting
of the General Assembly of the Association.
Any motion to be adopted, must be ratified by two-thirds of the
members present constituting a quorum.
